DOCUDESK DESKPDF LICENSE AGREEMENT

CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT. YOU ACCEPT AND AGREE TO BE BOUND BY THIS LICENSE AGREEMENT FOR DESKPDF, BY SELECTING THE OPTION LABELED "I ACCEPT THE AGREEMENT" THAT IS DISPLAYED BELOW. IF YOU DO NOT AGREE TO THIS LICENSE, YOU MUST SELECT THE CANCEL BUTTON,

LIMITED WARRANTY

For registered users, we warrant that for a period of 90 of days after registration of this copy of the Software:

• the Software will perform in substantial accordance with the Documentation.

Our entire liability and your exclusive remedy for breach of the foregoing warranty shall be to refund the purchase price you paid for registration.

IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR THE INABILITY TO USE THE SOFTWARE (EVEN IF WE OR AN AUTHORIZED DEALER OR DISTRIBUTOR HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), OR FOR ANY CLAIM BY ANY OTHER PARTY.

To the extent permitted by applicable law, THE FOREGOING LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, AND WE DISCLAIM ANY AND ALL IMPLIED WARRANTIES OR CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OF TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, regardless of whether we know or had reason to know of your particular needs. No employee, agent, dealer or distributor of ours is authorized to modify this limited warranty, nor to make any additional warranties.

DISTRIBUTION OF DOWNLOAD EDITION

You may copy the Download Edition of this software and documentation as you wish, and give exact copies of the original Download Edition to anyone, and distribute the Download Edition of the software and documentation in its unmodified form via electronic means. But you should not charge or request donations for any such copies however made, or from distributing the software and/or documentation with other products without written permission from Docudesk.

DOWNLOAD EDITION

The software, deskPDF, is distributed via two distribution mediums, CD rom format and an executable installation package. Both the CD rom versions and the download edition come aggregated with other 3rd party GPL licensed software products that may be installed at the user''s discretion. This 3rd party software is covered under the GNU General Public License as defined after this license. The source code for these software products is available via direct download from the Docudesk web site.

SINGLE USER REGISTERED VERSIONS

One registered copy of the software may be used on one computer. The registration mechanism, serial number and registration code is machine specific. In the event of a computer upgrade or hard disk crash, Docudesk may provide one registration code to register the new computer or repaired computer. To obtain this service, the customer must provide the email used to purchase the original registration. The single user license does not provide for network access by more than one client machine. An enterprise license for a server, or individual single user licenses must be purchased for each client that accesses the software.

REGISTRATION

The software contains a registration mechanism that activates full functionality based on machine specific information. You are free to use unregistered installations of deskPDF indefinately, so long as no attempt is made to bypass the registration mechanism. Any attempt to circumvent or reverse-engineer this protection system is strictly prohibited. Any evidence of electronic theft could lead to prosecution.

TITLE

Docudesk and Maketech Systems, Inc. are the exclusive copyright holder of the software and reserve all rights provided under the law.

TERM AND TERMINATION

This license agreement takes effect upon your use of the software and remains effective until terminated. You may terminate it at any time by destroying all copies of the Software and Documentation in your possession. It will also automatically terminate if you fail to comply with any term or condition of this license agreement. You agree on termination of this license to destroy all copies of the Software and Documentation in your possession.
